By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
SRH Business Resource Marketplace is a service marketplace that connects individuals and businesses ("Clients") seeking professional services with independent service providers ("Providers"). We are a technology platform only. We do not employ, endorse, or guarantee the work of any Provider listed on the Platform.
We are not a party to any agreement between a Client and a Provider. All service engagements, contracts, deliverables, and payments between Clients and Providers are solely between those parties.
You may use the Platform if you are legally capable of forming a binding contract under applicable law. By using the Platform, you represent that you have the authority to enter into these Terms on behalf of yourself or the organization you represent.
The Platform does not currently require you to create an account. However, certain features — such as downloading resources or scheduling discovery calls with service providers — require you to submit basic contact information (name, email, and/or phone number). By submitting this information, you agree to provide accurate and current details.
We may introduce account-based features in the future, such as a community platform, at which time additional terms may apply. We will notify users of any such changes in accordance with Section 15 of these Terms.
The Platform does not charge vendors a fee to be listed. Vendors are individually vetted and participate under a separate commission agreement with SRH Business Resource Marketplace.
Stripe is used exclusively to process payments for the following services offered directly by SRH Business Resource Marketplace:
1. Paid consulting services
2. Paid downloadable content (when available)
3. Community membership fees (if and when a community platform is launched)
By submitting payment through Stripe, you authorize us to charge the applicable amount to your payment method. All payments are non-refundable unless otherwise stated at the time of purchase.
We reserve the right to introduce, modify, or discontinue any paid offerings at any time with reasonable notice.
All content on the Platform created by SRH Business Resource Marketplace, including but not limited to text, graphics, logos, icons, and software, is the property of SRH Business Resource Marketplace or its licensors and is protected by applicable intellectual property laws.
You may not reproduce, distribute, modify, or create derivative works from Platform content without our express written consent.
By submitting content to the Platform (such as a Provider listing or reviews), you grant us a non-exclusive, royalty-free, worldwide license to display and use that content in connection with operating the Platform.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that: (a) the Platform will be uninterrupted or error-free; (b) any content or information on the Platform is accurate, complete, or reliable; or (c) any Provider will perform services to your satisfaction.
The Platform integrates with third-party services including GoHighLevel, Google Analytics, and Stripe. Your use of these services is governed by their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SRH BUSINESS RESOURCE MARKETPLACE AND STEVEN R. HARRIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR ANY SERVICES OBTAINED THROUGH IT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total liability to you for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid to us in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100.00).
You agree to indemnify, defend, and hold harmless SRH Business Resource Marketplace, Steven R. Harris, and their respective affiliates from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any dispute between you and another user.
These Terms remain in effect while you access or use the Service. We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including but not limited to violation of these Terms.
Upon termination, all licenses granted to you under these Terms will immediately cease. Provisions that by their nature should survive termination (including limitations of liability, indemnification, and dispute resolution) will survive.
By providing your phone number and opting in, you consent to receive SMS text messages from us related to Platform activity, promotions, and updates. You may opt out at any time by replying STOP. Standard message and data rates may apply.
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.
Any dispute arising from or relating to these Terms or the Platform shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to binding arbitration in Williamson County, Texas, under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.
You waive any right to participate in a class action lawsuit or class-wide arbitration.
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SRH Business Resource Marketplace regarding your use of the Platform and supersede all prior agreements or understandings.
